This position presents an opportunity to join a dynamic Legal Team that is expanding to meet growing business needs in our core and emerging global businesses.  The Catalina Legal Team is a highly motivated group working to support our fast paced and developing business driving lift and loyalty for the world’s leading CPG brands and retailers while also possessing the flexibility to adapt to changing priorities and fostering a collaborative team environment. Catalina is seeking to fill a role for a Junior Corporate Counsel responsible for a range of commercial legal matters, with an emphasis on contracting and related legal support for customer, strategic partnership and vendor relationships. 

Responsibilities

This position requires demonstrated subject matter expertise in complex contract preparation and application and advising internal clients on risk and opportunities, including contract compliance and legal aspects of business strategy.  In-house experience with companies operating in the advertising and/or technology arena, in particular digital advertising and media, plus a solid understanding of intellectual property, privacy and commercial contracting is strongly preferred.  Experience on strategic technology transactions and general corporate governance and advisory services also preferred.  This position reports to the VP, Associate General Counsel and Chief Privacy Officer and would be based in Catalina’s St. Petersburg office. Periodic travel to other Catalina offices would be required. 

  • Work closely with various Catalina business units and departments in the United States and globally to support business initiatives.

  • Review, negotiate and draft a range of commercial contracts, including vendor, sales and partner contracts, involving a wide range of subject matter (e.g. marketing/promotion, digital advertising and media support, regulatory compliance, intellectual property, licensing and subscriptions, privacy and security). 

  • Draft and update contract templates and partner with team members to improve company’s contract processes and policies.

  • Support Catalina’s intellectual property strategy and portfolio management.

  • Administration and resolution of legal issues, including contract interpretation, compliance, disputes and other matters.

  • Support Catalina’s corporate governance activities and related activities.

  • Assist with other needs and projects that come up, including support for strategic acquisitions and other significant corporate transactions, including, but not limited to, Catalina’s digital and other emerging business lines.

  • Provide prompt, concise and practical legal advice consistent with Catalina’s business objectives.

Qualifications

  • JD from an accredited law school and outstanding academic record

  • Licensed member in good standing of at least one state bar (with the ability to become licensed as an Authorized House Counsel in Florida, as applicable)

  • Minimum of three to five years’ legal experience at a leading law firm and/or in-house experience with a fast paced, growth-focused organization

  • Experience in the technology and/or digital media arena (or supporting clients as outside counsel who are engaged in this area) and a strong understanding of data management, software sales/licensing, digital marketing/media, advertising, analytics or similar technologies

  • Law firm and/or in-house experience should include strong complex contracting and licensing skills and support on intellectual property matters.

  • Excellent organization skills, ability to work in a dynamic organization with a fast-paced environment, manage changing priorities and execute soundly against tight timelines.

  • Strong oral and written communication skills and ability to translate complex legal concepts into workable solutions, including the ability to communicate legal considerations to non-lawyers.

  • Strong and practical risk assessment and mitigation skills.

  • Ability to adapt quickly and successfully to changing business needs and support the Legal Team in doing the same.

  • A commitment to provide high quality client service and a strong desire to build trusted advisor relationships with internal clients and teammates.

  • Ability to manage and handle sensitive and confidential information with the highest levels of integrity, ethical standards, discretion and sound judgment.

  • Strong team player with business acumen and a focus on driving business results.
